Terms & Conditions

Effective Date: 25 October 2026

Website: https://adnexius.com

Business Name: Adnexius

1. Introduction

Welcome to Adnexius. These Terms & Conditions (“Terms”) govern your access to and use of our website, content, enquiry forms, and related online services.

By accessing or using this website, you agree to these Terms. If you do not agree, please discontinue use of the website.

These website Terms do not replace a separate proposal, statement of work, or service agreement signed between Adnexius and a client. Where a separate agreement applies, its terms will govern the relevant project to the extent of any conflict.

2. Our Services

Adnexius provides digital marketing, advertising, search engine optimisation (SEO), social media marketing, website development, e-commerce support, branding, graphic design, and related services.

Information on this website is provided for general informational purposes. The availability, scope, timeline, and pricing of any service will be confirmed separately.

Submitting an enquiry does not create a client relationship or guarantee that we will accept the project.

3. Proposals, Fees, and Payment

Project scope, deliverables, fees, payment schedules, taxes, expenses, and timelines will be specified in the applicable proposal or service agreement.

Unless otherwise agreed in writing:

  1. Work may begin after the required proposal approval, onboarding, and initial payment.
  2. Fees and payment milestones must be paid according to the agreed schedule.
  3. Applicable taxes and third-party charges may be additional.
  4. Advertising budgets paid to Google, Meta, TikTok, or other platforms are separate from our service fees unless expressly included in writing.
  5. Delayed payments or missing client materials may affect delivery schedules.
  6. Additional work outside the agreed scope may require a revised quotation.

Any cancellation, refund, or termination terms agreed in a client contract will apply to that engagement.

4. Client Responsibilities

Clients are responsible for:

  1. Providing accurate and complete business information
  2. Supplying required content, assets, approvals, and access permissions
  3. Ensuring they have the rights to use materials supplied to us
  4. Reviewing and approving deliverables within agreed timeframes
  5. Ensuring that their products, services, claims, and advertising comply with applicable laws
  6. Obtaining any necessary permissions or consents for data, images, testimonials, mailing lists, and other materials they provide
  7. Maintaining the security of their accounts and access credentials

We may rely on information and instructions supplied by clients unless we have agreed otherwise in writing.

5. Marketing Results and No Guarantee

Digital marketing results depend on many factors, including competition, market conditions, advertising budgets, website performance, platform algorithms, customer behaviour, and the quality of the client's offering.

Adnexius does not guarantee specific rankings, traffic, leads, sales, revenue, return on advertising spend, or other commercial outcomes, unless a specific commitment is expressly set out in a written agreement.

Advertising and search platforms may change their policies, algorithms, prices, or features at any time. We are not responsible for decisions or changes made independently by those platforms.

6. Intellectual Property

Unless otherwise agreed in writing, the content on this website—including text, graphics, branding, logos, design elements, and other materials—is owned by Adnexius or used with permission and is protected by applicable intellectual-property laws.

You may view the website and use its content for personal or internal business reference. You must not copy, republish, distribute, sell, modify, or commercially exploit our website content without prior written permission, except where permitted by law.

Ownership and usage rights for client deliverables, source files, licensed assets, and third-party materials will be governed by the relevant proposal or service agreement. Third-party assets remain subject to their respective licence terms.

7. Acceptable Website Use

You agree not to:

  1. Use this website for unlawful, fraudulent, or misleading purposes
  2. Attempt to gain unauthorised access to our website, servers, or systems
  3. Introduce malware, malicious code, or harmful traffic
  4. Interfere with website operation or security
  5. Scrape, copy, or harvest information in a way that violates applicable law or these Terms
  6. Submit false, abusive, or unauthorised information through our forms
  7. Infringe the rights of Adnexius or any third party

We may restrict access where reasonably necessary to protect our website, users, or business.

8. Third-Party Services and Links

Our website may refer to or link to third-party services, platforms, and websites. These services are controlled by their respective providers and may be governed by separate terms, fees, and privacy policies.

Adnexius is not responsible for third-party websites or services that it does not control.

9. Confidentiality and Personal Information

Information shared during a client engagement may be subject to confidentiality obligations agreed between the parties.

Personal information submitted through this website will be handled in accordance with our Privacy Policy. Clients remain responsible for ensuring that information they provide to us may lawfully be shared and processed for the agreed services.

10. Disclaimers

This website and its general content are provided on an “as available” basis. We make reasonable efforts to keep information accurate and up to date, but we do not warrant that every page, statement, or resource will always be complete, accurate, uninterrupted, or error-free.

Nothing in these Terms excludes a right or liability that cannot lawfully be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Adnexius will not be liable for indirect, incidental, special, or consequential losses arising from the use of this website or reliance on general website information.

For paid client services, any agreed liability limits will be governed by the relevant written service agreement. Nothing in these Terms excludes liability that cannot legally be excluded or restricted.

12. Indemnity

To the extent permitted by law, you agree to be responsible for losses or claims arising from your unlawful use of this website, your infringement of third-party rights, or materials and instructions you provide without the necessary rights or permissions.

This section does not apply where prohibited by applicable law.

13. Suspension or Termination

We may suspend or restrict access to the website where reasonably necessary for security, maintenance, suspected misuse, or legal compliance.

Termination of a paid engagement, including outstanding fees and handover obligations, will be governed by the relevant client agreement.

14. Governing Law and Disputes

These Terms are governed by the laws of India, subject to applicable legal requirements.

The parties should first attempt to resolve disputes through good-faith discussions. Where a dispute cannot be resolved informally, it will be handled by the courts or other dispute-resolution forum with appropriate jurisdiction under applicable law.
